1. Acceptance of Terms
Welcome to PlanWise ("we," "us," "our"), a content planning and analytics platform. By accessing or using PlanWise (the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and PlanWise. By creating an account, connecting social media platforms, or using any features of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Eligibility
To use PlanWise, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable law
- Provide accurate and complete registration information
By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Service Description
PlanWise provides content creators with tools to:

Work with team members on content boards and projects

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuance of the Service.
4. Account Responsibilities
4.1 Account Creation
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2 Account Security
You agree to:
- Use a strong, unique password
- Keep your login credentials confidential
- Notify us immediately of any unauthorized access or security breach
- Not share your account with others
- Not allow others to access your account
4.3 Account Inactivity
Accounts inactive for 12 consecutive months may be automatically deactivated and deleted, along with all associated data. We will attempt to notify you before deletion.
5. Third-Party Platform Connections
🔗 When you connect YouTube, Instagram, or TikTok accounts, you authorize PlanWise to access your data through official APIs, subject to each platform's terms and policies.
5.1 YouTube Connection
By connecting your YouTube account:
- You grant PlanWise permission to access your YouTube data via the YouTube Data API
- You acknowledge that your use is subject to YouTube Terms of Service
- You can revoke access anytime through your Google Account permissions
- PlanWise complies with the Google API Services User Data Policy
5.2 Instagram Connection
By connecting your Instagram account:
- You authorize access through Meta's Instagram Graph API
- You agree to comply with Instagram Terms of Use
- You acknowledge that PlanWise adheres to Meta's Platform Terms
- You can disconnect your account anytime from PlanWise settings
5.3 TikTok Connection
By connecting your TikTok account:
- You grant permission to access data through TikTok's official API
- You agree to TikTok's Terms of Service
- You understand that PlanWise complies with TikTok's Developer Terms
- You can revoke access anytime
Important: We are not responsible for changes to third-party platform APIs, policies, or terms. Platform access may be interrupted or discontinued due to factors beyond our control. We do not guarantee continuous availability of platform integrations.
6. Subscription and Billing
6.1 Free Trial
New users receive a 14-day free trial with access to premium features. You can cancel anytime during the trial without being charged. If you don't cancel before the trial ends, your subscription will automatically begin.
6.2 Subscription Plans
PlanWise offers multiple subscription tiers with different features and limits. Subscription fees are:
- Charged in advance on a monthly or annual basis
- Non-refundable (except as required by law)
- Subject to change with 30 days' advance notice
- Automatically renewed unless canceled
6.3 Payment
You authorize us to charge your payment method for all fees due. You're responsible for maintaining valid payment information. Failed payments may result in service suspension or termination.
6.4 Cancellation & Refunds
You may cancel your subscription anytime. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or unused subscription time, as you had the opportunity to evaluate the service during the free trial.
Data Deletion Policy: If your subscription expires or payment fails, your account downgrades to Free tier. New data processing stops immediately. Existing data will be permanently deleted after 30 days if you don't renew your subscription.
7. User Content and Ownership
7.1 Your Content
You retain all ownership rights to content you create, upload, or analyze through Planwise ("Your Content"). We do not claim ownership of Your Content.
7.2 License to PlanWise
By using the Service, you grant PlanWise a limited, non-exclusive, royalty-free license to:
- Process and analyze Your Content to provide the Service
- Display Your Content back to you and your authorized team members
- Store Your Content securely on our servers
- Create backups for service reliability
This license terminates when you delete Your Content or close your account.
7.3 Content Responsibility
You are solely responsible for Your Content and its legality. You represent that you have all necessary rights and permissions for content you upload or connect through platform integrations.
8. Prohibited Uses
You agree NOT to:

❌ Infringe on intellectual property rights of others
❌ Upload malicious code, viruses, or harmful software
❌ Attempt to hack, reverse engineer, or compromise our systems
❌ Scrape or harvest data from the Service without permission
❌ Use the Service for spam, phishing, or fraudulent activities
❌ Impersonate others or misrepresent your affiliation
❌ Abuse, harass, or harm other users
❌ Circumvent usage limits or access restrictions
❌ Resell or redistribute the Service without authorization
Violation of these terms may result in immediate account termination and legal action.
9. Intellectual Property Rights
The Service, including its design, code, features, branding, and documentation, is owned by PlanWise and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes. You may not:
- Copy, modify, or create derivative works from the Service
- Reverse engineer or decompile any part of the Service
- Remove or alter copyright notices or branding
- Use our trademarks without written permission
10. Termination
10.1 Termination by You
You may terminate your account anytime through your account settings. Upon termination, your access to the Service will cease, and your data will be deleted in accordance with our data retention policies.
10.2 Termination by PlanWise
We may suspend or terminate your access immediately, without notice, if:
- You violate these Terms
- Your payment fails or your account is past due
- We're required to do so by law
- Your account has been inactive for 12 months
- We detect fraudulent, abusive, or illegal activity
10.3 Effect of Termination
Upon termination, all licenses granted to you will immediately cease. Sections that by their nature should survive termination (including payment obligations, disclaimers, and limitations of liability) will continue to apply.
11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, Planwise disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- That the Service will be uninterrupted, secure, or error-free
- That defects will be corrected or that our servers are virus-free
- The accuracy, reliability, or completeness of analytics data
- That third-party platform integrations will remain available or functional
You use the Service at your own risk. We do not guarantee any specific results from using the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
PlanWise, its affiliates, officers, directors, employees, and agents SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Loss of goodwill or reputation
- Service interruptions or data loss
- Third-party platform API changes or discontinuation
- Errors or inaccuracies in analytics data
- Unauthorized access to your account or data
Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.
Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless PlanWise and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your Content or any content you submit through the Service
- Your violation of any applicable laws or regulations
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict of law principles.
14.2 Dispute Resolution Process
Before filing any legal claim:
- Contact us at support@planwise.com to attempt informal resolution
- Provide a detailed description of the dispute and your proposed resolution
- Allow us 30 days to respond and work toward a resolution
14.3 Jurisdiction
Any legal action or proceeding must be brought exclusively in the courts located in Indonesia. You consent to the personal jurisdiction of such courts.
15. Changes to Terms
We may update these Terms from time to time. When we make significant changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify you via email or through a prominent notice in the Service
- Provide you with a reasonable opportunity to review the changes
Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you don't agree to the changes, you must stop using the Service and close your account.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Planwise regarding the Service.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
